These terms cover azendo.co, the website of Azendo, an offshore software development company with its own offices in Chiang Mai and Bangkok that builds a dedicated, managed team for each international client.

Who runs this website

azendo.co is run by Azendo Co., Ltd., 97 Chotana Rd Soi 22, T. Patan, A. Muang, Chiang Mai 50300, Thailand. In these terms, "we" and "us" mean Azendo, and "you" means anyone using the site. By using the site you accept these terms. If you don't accept them, please don't use it.

Using the site

Use the site lawfully. Don't try to gain unauthorised access to it, disrupt it or upload anything harmful to it. Search engines and other automated tools are welcome within the rules in our robots.txt file, as long as they don't overload the site.

Information on the site

The site describes our services in general terms. It isn't an offer. Prices are "from" prices for one mid-level specialist working full time, and your price, scope and start date are set only in a written proposal and a signed agreement. We work to keep the information accurate and up to date, but we can't guarantee that every page is complete or current.

Content and trademarks

The text, photos, graphics, design and code on the site belong to Azendo or to those who licensed them to us. You may read and share the pages, link to them and quote short passages with a credit to Azendo. Please ask us before copying larger parts or reusing our photos. Client logos and other trademarks belong to their owners.

Enquiries, bookings and applications

We use the details you send through a form on the site to reply to you, arrange the meeting you book or consider your job application. How the site uses cookies is described in our cookie policy.

Links to other websites

Some pages link to other websites. We don't control them and aren't responsible for their content or how they handle your data.

Liability

The site is provided as it is. As far as the law allows, we aren't liable for any loss arising from using the site or from relying on its content. Nothing in these terms limits liability that the law doesn't allow to be limited.

Changes and governing law

We may update these terms, and the date below shows the latest version. These terms are governed by the laws of Thailand, and the courts of Thailand have jurisdiction over any dispute about the website.

How our service agreement works

Every engagement runs under a signed Managed Digital Services Agreement and a service schedule that sets the roles, the monthly capacity, the fee and the start date. The points below summarise how it works. If anything here differs from your signed agreement, the agreement applies.

What we provide
We assign specialists to your product full time, employ and manage them, and provide the office, equipment, tools and delivery management around them. You set the scope and the priorities, and you accept the work.
One monthly invoice
We invoice monthly in advance. The first invoice is issued only once the specialists have had their first working day on your project. Fees are stated without taxes such as VAT or withholding tax.
A fixed fee
The capacity in the service schedule is a monthly average with annual leave and public holidays already deducted, so the fee stays the same in a month when a specialist takes leave.
Your intellectual property
Everything the specialists create for you belongs to you once the related fees are paid, and their employment contracts include the assignment of that work. Each side keeps the intellectual property it had before.
Confidentiality and data
Both sides keep each other's confidential information confidential and use it only for the work. Both comply with data protection law, including Thailand's Personal Data Protection Act.
Your systems and access
You decide which systems and tools the specialists can use, keep them licensed and secured, and revoke access when an assignment ends.
Replacements
If a specialist isn't the right fit, we arrange a replacement on the terms set out in your agreement.
Our specialists
The specialists assigned to you stay employed by Azendo. Hiring one of them directly needs our written consent, on terms set out in the agreement.
